Managed Compliance Service
It is a requirement of the Companies Act that
all UK registered companies maintain various registers which comprise
a permanent record of Directors and Shareholders etc. Any changes
in the company's officers or shareholdings along with details of
any mortgages and charges registered must be recorded in these registers
and noted in the company's minute book. Maintenance of proper minutes
of directors and shareholders meetings is also a requirement of
the Companies Act, and in addition there are many standard forms,
resolutions and returns that must be properly executed and filed
with the Registrar of Companies.
Directors have a personal responsibility to
ensure that all public filings required by the Companies Act are
made correctly and on time. This responsibility extends to the proper
maintenance of statutory registers and minute books. Failure to
adhere to these requirements may result in public notices being
issued against the company and its officers, which may seriously
damage the company's creditworthiness. In many cases, personal prosecutions
are brought by the Registrar of Companies against directors of companies
that neglect these issues, and such prosecutions carry severe fines
and can lead to disqualification and a criminal record.
Company Registrations Online can assist you
in these time consuming and often complex matters. We have developed
a service that we believe to be unique in the UK in order to provide
clients with a solution to the ongoing production of minutes, Companies
House forms and statutory registers. The Managed Compliance Schedule gives full details of the documentation
that can be produced and the events covered by the scheme. The following
is a brief summary:
- Minutes and Companies House forms produced
on request
- Statutory Registers updated and maintained
- Pre-emptive production of Annual Returns
with shareholder details complete
- Full company details available online
or via email
- All your limited company records always
completely up to date
- Proactive reminders for annual returns
and accounts due dates
- Free advice and assistance on all aspects
of statutory company matters
Corporate Identity Fraud .....introducing CRO Monitoring
Corporate identity fraud is an increasing problem,
with unscrupulous operators fraudulently lodging documents such
as directorship appointments, thus enabling the criminals to open
and operate bank accounts and conduct fraudulent transactions in
your company name. Even if such action does not have a direct financial
effect on your own business, the long term effect on your company's
credit worthiness and reputation can be devastating, costly and
lengthy to rectify.
Our new document monitoring service, CRO Monitoring,
enables us to keep an eye on your company and monitor documents
as they are filed at Companies House. As soon as any document is
filed, we will immediately check whether it is a legitimate filing,
and if not we will take the appropriate action to rectify the problem
on your behalf.
We are pleased to announce that clients using
our standard Managed Compliance Service will automatically be placed
on CRO Monitoring free of charge providing further peace of mind
for busy company directors.
