IMPORTANT NOTE
The Companies Act 2006 makes changes
to how companies are incorporated from 1 October 2009. One of the
most significant changes involved is that the old style Memorandum
and Articles of Association are replaced by just the Articles of
Association. The Memorandum becomes nothing more than a statement
of intent by the subscribers to incorporate and is of no further
interest.
The new Companies Act prescribes Model
Articles that may be adopted by new companies, but we have taken
high level legal advice that indicates these Model Articles are
not sufficient for the effective conduct and management of a limited
company. As a member of The Association of Company
Registration Agents (ACRA), we are happy to advise that we use
ACRA Approved Articles drawn up by leading Counsel.
Our bespoke Articles contain all the
necessary amendments to the model articles in order to ensure effective
operation of your company. It is a substantial document running
to around 30 pages in length and replaces the old requirement to
refer to separate tables of regulations (the old Table A) to understand
the company’s constitution and as a result we supply just
one bound copy of the Articles along with an email of the document
allowing you to print additional copies as required.
We advise clients in the strongest terms
not to choose to adopt the Model Articles as many less well-informed
registration agents may advise. For further details, please see
our dedicated pages regarding our new Articles
of Association and details regarding the new Companies
Act 2006.
