Tailor Made Companies What
is a tailor made company?
Our tailor made company formation service allows
you to choose the name of your new company, subject to availability.
Because we now submit the vast majority of new formations electronically
to Companies House, your company will normally be incorporated within
hours of ordering and your full company pack despatched the same
day if ordered before midday.
Electronic Incorporation
The new Electronic Incorporation facility for
tailor made companies not only enables us to form your new company
very quickly, but also with your intended directors, company secretary,
registered office and shareholders all in place and recorded at
Companies House immediately upon formation. The major benefit in
this is that it allows you to immediately open a bank account, whereas
previously, and still with most other formation agents, you would
have to wait up to a week and sometimes more before your directors
would be recorded at Companies House, thus delaying the opening
of a bank account. See our Customer Support section for more information
about the benefits
of Electronic Incorporation.
Choosing a name
You can use virtually any name for a new company
as long as it is not exactly the same as any other registered name.
Some words such as “International”, “Holdings”
and “Group” are designated as sensitive names and there
are rules governing their use in a company name. See our section
on choosing a company name for
more information.

* IMPORTANT NOTICE
Companies Act 2006
Commencement Orders 2007
On 1 October 2007 further elements of
the new Companies Act 2006 came into force. The parts of the new
Act introduced on that date make significant changes to Table A
Regulations, which govern the constitutional conduct of companies.
We can advise clients that our documentation has been updated accordingly
and incorporates all necessary changes in order to be fully compliant
with the new law.
We can therefore happily advise clients
that you can rest assured that your company formation will be right
up to date with the new law. However, if you are by chance considering
ordering elsewhere, it is most important that you check that the
agent you choose has made the necessary amendments to their standard
Articles of Association.
Additional parts of the Companies Act
2006 to be introduced on 6 April 2008 remove the obligation for
private companies to appoint a company secretary. From that date,
our ordering facility will allow the incorporation of a new company
without a secretary. However, you may wish to consider this carefully
before taking this option as we are unsure how some institutions,
in particular banks and other financial services, will perceive
companies with no secretary. We are particularly concerned and unsure
at this early stage whether the absence of a company secretary will
create problems when opening bank accounts, as it may take some
time for the new law to filter through the banking industry. If
in doubt, we recommend that your company is incorporated with a
company secretary, and we are more than happy to advise further
if required.
