Companies House 2025 IDV Changes: Essential Information
In 2025 we will see the introduction of identity verification. This will mean that all Company Directors and Persons with Significant Control (PSCs) must have their identities verified at Companies House. These reforms are part of the UK government’s efforts to increase transparency and combat financial crime. Here’s what you need to know about these changes, how they will affect you, and what steps you should take to stay compliant.
Why Is Identity Verification Being Introduced?
The Companies House identity verification (IDV) requirement is a key measure introduced under the Economic Crime and Corporate Transparency Act 2023. The aim is to prevent fraudulent company registrations, improve trust in the UK’s business environment, and ensure accountability among those controlling companies.
Who Needs to Be Verified?
The ID verification process applies to:
- New and existing Company Directors
- New and existing Persons with Significant Control (PSCs)
- Individuals filing documents on behalf of a company (e.g., agents and advisors)
How Will the ID Verification Process Work?
From October 2025 before a new company can be incorporated, verification will be required for all new directors and PSCs. Existing directors and PSCs must complete this process when filing their next Confirmation Statement from autumn 2025 onwards. The following are the key dates to bear in mind as Companies House implement this procedure.
- 25th March 2025 – IDV goes live. Anyone can go through the process on a voluntary basis
- Autumn 2025 – IDV becomes compulsory
- Spring 2026 – Anyone filing information with Companies House must verify their identity
There will provide two main routes for verification:
- Direct Verification via Companies House – Individuals will verify their identity through a secure online portal.
- ACSP’s – Authorised Corporate Service Providers – Company formation agents, accountants, and legal professionals will be authorised to carry out identity verification on behalf of their clients.
The process will involve biometric checks, such as uploading a photo of an identity document (passport or driving licence) alongside a selfie or video confirmation. ACSP’s may also be able to accept certified copies of documents.
What Happens If You Don’t Comply?
Failure to comply with the IDV requirements may result in:
- Restrictions on company formation and filings
- Financial penalties
- Possible criminal sanctions for persistent non-compliance
- Companies being marked as non-compliant, impacting their credibility and ability to trade
What Should You Do Now?
